The Uniform Commercial Code (UCC) is a summary of traditional common law rules which govern commercial transactions. It standardizes business laws in the US and seeks uniformity amongst states. The law also seeks to diminish the need for legal formalities while making business deals with the absence of lawyers and elaborate processes. There are conditions which are stipulated in UCC contracts and if present in the contract between Acme and its partners, the contract would be repudiated in accordance to the UCC.
